Jersey Shore's Snooki Hit with Multimillion-Dollar Suit

German cartel office clears Liberty cable deal

BERLIN -- Germany's federal antitrust watchdog, the Bundeskartellamt, has approved Liberty Global's 3.16 billion ($4.1 billion) acquisition of regional cabler Kabel Baden-Wuerttemberg. Liberty is planning to merge Kabel BW with its Unitymedia, Germany's second-biggest regional cabler, which John Malone's company acquired in 2009 for some $5 billion. The watchdog said on Thursday that it had cleared the deal "subject to conditions and obligations." In October the cartel office expressed concerns about the deal, saying that it could strengthen the oligopoly in the nationwide licensing market currently dominated by the country's biggest cable operator, Kabel Deutschland, Unitymedia and Kabel BW. While the antitrust regulator said the planned merger would have a negative impact on the feed-in market characterized by the competitive relationship between the cable network operators and TV channels, it added that Liberty had agreed to a number of commitments that would increase competition opportunities of third providers. Housing associations in Unitymedia and Kabel BW's areas of operation will be granted special contract termination rights, making it possible for them to look for less expensive cable providers. "Liberty undertakes to grant special termination rights for large contracts for retail TV services and to end its encryption of digital free TV programs. The company has also agreed to forgo certain exclusivity clauses and ownership claims or rights to dismantle household cable connections," the watchdog said. Bundeskartellamt prexy Andreas Mundt added, "This merger could only be cleared with far-reaching commitments by the companies involved. We now see the chance of more competition in the cable markets. With the obligation to open up large long-term contracts with the housing industry, and give up further contractual rights as well as the basic encryption of digital free TV programs, the negative effects of the merger are compensated." For Liberty, the victory comes a decade after cartel regulators foiled Malone's plan to buy Germany's entire cable system for $5 billion from telco giant Deutsche Telekom. More than 50,000 of the sales came in the first 12 hours. From the gross sales of more than $500,000, Louis C. K. said he subtracted about $170,000 for production costs, about $32,000 for the development of his site and other costs, getting him to a profit of about $200,000, according to the Times. "We can safely say that the experiment really worked," the comedian wrote. "If anybody stole it, it wasn't many of you. Pretty much everybody bought it." The $5 buys fans two downloads and two streams of the stand-up special filmed during the NY Comedy Festival last month. 'American Horror Story' Mansion on Sale for $4.5 Million

NY - Netflix deal chatter could remain in the headlines in 2012, according to Wall Street observers, even though some say a sale of the company or part of it may never happen. On Monday, a report said that Verizon was looking at buying the streaming video service provider, but some Wall Street observers had their doubts. "Netflix could be a prime target for any sort of M&A," Miller Tabak analyst David Joyce told The Hollywood Reporter. Or at least M&A talk. In a report on Tuesday, Joyce wrote: "With Netflix's strategy missteps and subsequent stock plummet, that has opened up potential opportunities for telco video distribution companies or online e-commerce companies to consider adding this company with 22 million-plus subscribers to their reach." He mentioned DirecTV - since satellite TV competitor Dish Network earlier this year acquired Blockbuster - Amazon, Google, AT&T, Microsoft and Wal-Mart as other companies that could take a look if Netflix was on the market. "Also, we would think that entertainment companies could become interested in buying Netflix as a means of protecting but enhancing the TV ecosystem, instead of Netflix's current role as a disruptor," Joyce said. "Netflix would become a part of the windowing scheme." The NY Post on Tuesday also suggested that entertainment companies could get involved in a deal with Netflix, but simply buy a minority stake in the firm. Some on Wall Street wonder though if the deal talk is being encouraged mostly by bankers looking to get deal activity going. "It will be hard for Netflix to accept deals near current stock prices after it was worth $300 just a few months ago," said one observer. "It's just cheaper to buy the subs than to buy the business," said Janney Capital Markets analyst Tony Wible. "You don't only have to buy in excess of $4 billion for the equity, but they also have $4.5 billion in content obligations." Adding those two together, "you would pay roughly $400 per subscriber," Wible estimated. "Somebody could actually win the subs by paying only $100 per sub either as a cash bounty or by giving away service for 12 months for that cost. That would be $2.2 billion if you got all of Netflix's 22 million subs. But you don't even need all the subs." That said, Wible said that companies have always made bad deals in corporate history. "Microsoft has a history, but I don't see that happening," he said. Netflix hasn't come out and signaled any interest in deals. A spokesman said Tuesday that the company doesn't comment on rumors or speculation. But some say the company could benefit from a stock boost on any deal rumors. HBO Pacts With 'Luck's' David Milch for William Faulkner Adaptations

Redboard, through an agreement with the William Faulkner Literary Estate, will produce films and TV series based on the works of the Pulitzer Prize-winning author. The deal covers all of his 19 authors and 125 short stories, and gives HBO the exclusive first opportunity to finance, produce and distribute the projects. Under the terms of the agreement, Milch will partner with Lee Caplin, the executor of the William Faulkner Literary Estate and chief executive of Picture Entertainment Corp., to choose which works to develop, package and produce. Both Milch and Caplin will act as executive producers on the projects, with Milch serving as the executive writer in charge of adapting the works. Olivia Milch will serve as a coordinating producer on the projects. "We are especially pleased to continue our longstanding relationship with one of the industry's most talented contemporary writers," says HBO programming president Michael Lombardo. "We know that whatever David brings to the HBO table will be exciting and innovative." Adds Milch:"I'm delighted to expand my longstanding relationship with HBO to encompass the adaptation of some of the most important literary works by any American writer into television films and series. Webb has spoken exclusively to BBC Newsnight reporter Richard Watson in an interview that will not air until late Monday night. In January 2011 he was assigned to investigate Harris, the lawyer who represented sports agent Sky Andrewin a phone-hacking case which eventually forced the sacking of News of The World news editor Ian Edmondson. The investigations expert told the BBC he was assigned to find out if Harris was having an affair and carried out video surveillance on Harris and her young children. It is thought that Webb was investigating the possibility that the lawyers were having affairs in a bid to pressure them into dropping the hacking inquiry.
